These Terms of Service govern your access to and use of melmel.com and your purchase of products from Leadermel LLC, doing business as MelMel (Mel·Mel). Our Privacy Policy, Shipping Policy and Refund and Returns Policy form part of these Terms. Our SMS Terms and Conditions apply only if you choose to receive text messages by checking an opt-in box on our website or by texting START to +1 (561) 728-1815; using this website or placing an order never subscribes you to text messages. By using this website or placing an order, you agree to these Terms. If you do not agree, do not use the website or place an order.

1. Eligibility

You must be at least 18 years of age to place an order. If you are placing an order on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Products and descriptions

We make reasonable efforts to describe our products accurately, including formats, weights and ingredients. Product images are illustrative and actual packaging may vary. All products contain milk. Refer to the product label for the complete ingredient statement and allergen information before consumption or resale.

We reserve the right to modify, discontinue or limit the availability of any product at any time without notice.

3. Pricing

All prices are stated in United States dollars and exclude applicable sales taxes and shipping charges, which are calculated at checkout. Prices shown in the online store are retail prices per unit. Wholesale pricing is quoted separately and may depend on volume, format and delivery zone. We reserve the right to correct pricing errors, including after an order has been submitted, in which case we will contact you to confirm or cancel the order before shipment.

4. Orders and acceptance

Your submission of an order is an offer to purchase. An order is accepted only when we confirm it in writing or ship the products. We may decline or cancel any order, including where the product is unavailable, where we suspect fraud, where a pricing or description error has occurred, or where the order appears to be placed by a reseller without an approved wholesale account. If we cancel an order after payment, we refund it in full.

5. Payment

Retail orders must be paid in full at the time of purchase. Orders paid by bank transfer ship once the payment has cleared. Wholesale accounts approved for credit terms must pay in accordance with the terms stated on the invoice. Past-due balances may accrue interest at the maximum rate permitted by Florida law, and we may suspend further shipments until the account is current.

6. Wholesale accounts

Wholesale purchasing requires an approved account and a valid resale certificate where applicable. Minimum order quantities vary by delivery zone and product format and are confirmed at the time of quoting. Wholesale prices are confidential and may not be disclosed to third parties.

7. Shipping, title and risk of loss

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you when the products are handed to the carrier or, for orders collected at our facility, when you pick them up.

8. Returns and refunds

Returns and refunds are governed by our Refund and Returns Policy. That policy provides a 30-day satisfaction guarantee for consumer purchases made on melmel.com and, because our products are food items that cannot be restocked or resold, treats sales to wholesale, distribution, foodservice and private label accounts as final except as expressly set out in that policy.

9. Food safety and storage

You are responsible for storing and handling the products in accordance with the instructions on the label and with all applicable food-safety regulations. We are not responsible for product deterioration resulting from improper storage, handling or transport after delivery. Customers who resell our products are responsible for their own compliance with applicable food-labeling and food-safety requirements.

10. Intellectual property

The Mel·Mel™ and Leadermel™ names and logos, and all content on this website including text, images, recipes and design, are owned by Leadermel LLC and protected by intellectual property laws. You may not reproduce, distribute or create derivative works from this content without our prior written permission. Authorized resellers may use our product images solely to promote the sale of our products.

11. Acceptable use

You agree not to use this website for any unlawful purpose, to attempt to gain unauthorized access to any part of the site or its systems, to interfere with its operation, or to introduce any malicious code.

12. Disclaimer of warranties

Except as expressly stated in these Terms or as required by applicable law, our products and this website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits any warranty that cannot be excluded under applicable law.

13. Limitation of liability

To the maximum extent permitted by applicable law, Leadermel LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenues, arising out of or relating to your use of this website or your purchase of our products. Our total liability for any claim arising out of or relating to an order will not exceed the amount you paid for that order.

14. Indemnification

You agree to indemnify and hold harmless Leadermel LLC and its officers, members, employees and agents from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms, your violation of any law, or your resale or use of our products in a manner inconsistent with their labeling.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or your purchase will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the jurisdiction of those courts.

16. Changes to these Terms

We may revise these Terms at any time. The effective date at the top indicates the most recent revision. Your continued use of the website after a revision constitutes acceptance of the revised Terms. The Terms in effect at the time you place an order govern that order.
